GENERAL TERMS & CONDITIONS

1. Introduction

The following terminology applies to these Terms and Conditions, Privacy Statement and Disclaimer Notice and all Agreements: “Client”, “You” and “Your” refers to you, the person or entity engaging American Strategic Group LLC’s services and complying with these terms and conditions. “The Company”, “ASG”, “Ourselves”, “We”, “Our” and “Us”, refers to American Strategic Group LLC. “Party”, “Parties”, or “Us”, refers to both the Client and ourselves. All terms refer to the offer, acceptance and consideration of payment necessary to undertake the process of our assistance to the Client in the most appropriate manner for the express purpose of meeting the Client’s needs in respect of provision of the Company’s stated services, in accordance with and subject to, prevailing laws of the United States of America. Any use of the above terminology or other words in the singular, plural, capitalization and/or he/she or they, are taken as interchangeable and therefore as referring to same.

2. Service Delivery and Modifications

American Strategic Group LLC shall use its best endeavors to deliver services according to the agreed scope of work and timeline disclosed to the Client prior to the execution of this agreement. However, such scope and/or timeline may be altered, or parts thereof modified or dates changed, for any cause that ASG (after consultation with the Client), acting reasonably shall consider to be necessary for optimal service delivery.

Notwithstanding the above, ASG will use its best efforts to deliver services within the proposed timeline and according to agreed specifications. Any material changes to scope, timeline, or deliverables will be communicated in writing to the client. ASG reserves the right, without penalty, to modify service delivery methods or adjust timelines when circumstances warrant such changes for the benefit of project outcomes.

3. Cancellation by Client

3.1 Consulting Services

• Within 48 hours of contract execution: Full refund of any payments made, provided services have not yet commenced
• After 48 hours but before service commencement: 50% refund of payments made
• After service commencement: No refund available; client remains liable for work completed and resources allocated

3.2 Training Programs and Workshops

• More than 30 days before event: 75% credit note applicable to future ASG services
• 15-30 days before event: 50% credit note applicable to future ASG services
• Less than 15 days before event: No refund or credit available

3.3 General Cancellation Terms

If the client does not officially request cancellation and discontinues engagement without notice, no refund shall be issued and the client remains liable for the full contracted amount.

4. Limitation of Liability

American Strategic Group LLC shall not be liable for any special, consequential, or incidental damages arising out of this agreement or the services provided hereunder, including but not limited to damages for lost profits, loss of use, business interruption, or any damages or sums paid by the Client to third parties, even if ASG has been advised of the possibility of such damages.

ASG’s total liability under any agreement shall not exceed the total amount paid by the Client for the specific services giving rise to the claim. This limitation applies regardless of the legal theory upon which the claim is based.

5. Privacy and Data Protection

ASG is committed to protecting client confidentiality and data security. All client information, business data, and proprietary materials shared during the course of our engagement will be treated as confidential and will not be disclosed to third parties without explicit written consent.

The Client grants ASG the right to use project outcomes, methodologies developed, and general insights gained (in anonymized form) for promotional purposes, case studies, and future service enhancement, provided no confidential client information is disclosed.

ASG maintains comprehensive data protection protocols in compliance with applicable privacy laws and industry best practices.

6. Force Majeure

In the event of postponement or inability to deliver services due to war, threats or acts of terrorism, natural disasters, government regulations, pandemic restrictions, or other force majeure events, ASG shall be under no liability for any expenditure, loss, or damages incurred by Clients.

In such cases, services will be rescheduled or alternative delivery methods implemented within a reasonable timeframe. If rescheduling is not feasible within six months of the original agreement date, the Client may request a full refund of unused services, which will be processed within 30 days.

7. Service Postponement

If ASG decides to postpone service delivery for reasons other than Force Majeure, alternative arrangements will be made within a reasonable timeframe. Clients will be offered:

• Rescheduled service delivery at no additional cost
• Alternative service delivery methods (virtual vs. in-person)
• Full credit applicable to future ASG services
• Full refund if alternative arrangements are unsatisfactory

8. Intellectual Property Rights

8.1 ASG Property

Unless otherwise stated, ASG owns all intellectual property rights to methodologies, frameworks, tools, and materials developed independently or prior to client engagement. All such intellectual property rights are reserved.

8.2 Client Restrictions

Clients must not:

• Reproduce, duplicate, or copy ASG proprietary materials without permission
• Redistribute ASG content to third parties
• Reverse engineer ASG methodologies or tools
• Use ASG materials for competitive commercial purposes

8.3 Work Product

Specific deliverables created exclusively for the Client will remain Client property, while underlying methodologies and general insights may be retained by ASG for future use in anonymized form.

9. Payment Terms

9.1 Standard Terms

• Payment terms are Net 30 days unless otherwise specified
• Late payments may incur interest charges at 1.5% per month
• All expenses pre-approved by Client will be reimbursed
• Invoices are sent electronically unless otherwise requested

9.2 Project-Based Work

• Payment milestones will be clearly defined in project agreements
• Work may be suspended if payments become more than 60 days overdue
• Final deliverables may be withheld until full payment is received

10. Professional Standards

ASG is committed to maintaining the highest standards of professional conduct and ethics. We expect all clients and their representatives to conduct themselves professionally during all interactions.

ASG does not tolerate discrimination, harassment, or unprofessional behavior based on race, gender, sexual orientation, religion, age, disability, or any other protected characteristic.

11. Termination

Either party may terminate the agreement with 30 days written notice. Upon termination:

• Client remains liable for all services performed and expenses incurred
• ASG will deliver all completed work products
• Both parties will return confidential materials
• Survival clauses (confidentiality, intellectual property) remain in effect

12. Miscellaneous

12.1 Entire Agreement

This agreement constitutes the sole and exclusive agreement between ASG and the Client. No other warranties, representations, or acknowledgments, written or verbal, have been made that are not reflected herein.

12.2 Modifications

These terms and conditions may only be modified through written agreement signed by authorized representatives of both parties.

12.3 Governing Law

The construction, validity, and performance of this agreement shall be governed by the laws of the State of Delaware, United States of America.

12.4 Dispute Resolution

Any disputes arising from this agreement shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

12.5 Communication

All official notices and communications shall be sent via email to the designated contact persons. Email delivery constitutes valid delivery.

These Terms and Conditions are effective as of the date first written above and supersede all previous versions. ASG reserves the right to update these terms with reasonable notice to clients.
